These Terms of Service (the "Terms") form a binding agreement between you and FBN Resources, a brand operated by ProfitWeave, LLC, located in Loomis, California (collectively, "FBN Resources," "we," "us," or "our"). FBN Resources (fbnresources.com) is a wholly owned subsidiary of ProfitWeave, LLC. They apply to your use of our website, data products, email digests, and any related services.

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

FBN Resources compiles, cleans, and delivers business filing data — including Fictitious Business Name (FBN) and "doing business as" (DBA) records — that is published in official government public records. We aggregate this information from county clerk portals and state business registries, normalize it into a consistent format, and make it available to subscribers through downloadable files and scheduled email digests.

We do not create the underlying records and we are not affiliated with, or endorsed by, any county, state, or other government agency. The Service is a data-aggregation and delivery product designed to help business-to-business sales professionals identify newly formed businesses.

The Service is offered solely for legitimate business and professional purposes. To use the Service, you must:

• Be at least 18 years of age and able to form a legally binding contract;
• Use the Service in connection with a bona fide business activity; and
• Provide accurate, current, and complete information when you register.

The Service is not directed to consumers for personal, family, or household purposes. We may refuse, suspend, or terminate access to anyone at our discretion, consistent with these Terms and applicable law.

Most features require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Accounts are for use by a single subscriber and may not be shared, sold, or transferred without our written consent.

Notify us promptly at hello@fbnresources.com if you believe your account has been accessed without authorization. We are not liable for any loss arising from unauthorized use of your account where you have failed to safeguard your credentials.

We may offer a free trial of the Service. Unless stated otherwise at sign-up, our free trial does not require a credit card and does not automatically convert into a paid subscription. Trial access may be limited in scope, data volume, or duration, and we may modify or discontinue trial offers at any time.

Each business is entitled to one free trial. We reserve the right to determine, in our reasonable discretion, whether you qualify for a trial and to withdraw a trial if we believe it is being misused.

Paid access is sold as a recurring subscription in tiers described on our pricing page. By starting a paid subscription you authorize us, through our payment processor Stripe, to charge your payment method the then-current fee for your plan on a recurring basis until you cancel.

• Auto-renewal. Subscriptions renew automatically at the end of each billing cycle (monthly or as otherwise stated) at the then-current rate unless cancelled before the renewal date.
• Payment processing. Payments are handled by Stripe. We do not store your full payment card details. Your use of Stripe is subject to Stripe's own terms and privacy policy.
• Price changes. We may change subscription prices. We will give you reasonable advance notice of any price change, which will take effect on your next billing cycle.
• Taxes. Fees are exclusive of applicable taxes, which you are responsible for paying where required.
• Failed payments. If a charge fails, we may retry the charge and may suspend access until payment is received.

You may cancel your subscription at any time from your account settings or by contacting us. There are no long-term contracts. When you cancel, your subscription remains active through the end of the current paid billing cycle, and you will not be charged for subsequent cycles.

Except where required by law, fees already paid are non-refundable and we do not provide partial refunds or credits for unused portions of a billing cycle. If you believe you have been charged in error, contact us within 30 days and we will review the issue in good faith.

The data we provide originates from public government records. While we work hard to deliver accurate, timely, and well-formatted information, public records are created and maintained by third parties and may contain errors, omissions, duplicates, or out-of-date entries that are outside our control.

Accordingly, the data is provided for informational purposes and is offered "as is" and "as available." We do not guarantee that any record is accurate, complete, current, or fit for a particular purpose, and you should independently verify information before relying on it for any business decision or outreach.

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the data delivered to you for your own internal business purposes, such as identifying and contacting prospective business customers.

You agree that you will not:

• Resell, sublicense, rent, lease, redistribute, or publicly post the data, or otherwise make it available to any third party as a standalone product;
• Share your subscription, login, or data deliveries with anyone outside your organization;
• Use automated means to scrape, copy, or extract data from the Service beyond the deliveries provided to you;
• Build a competing data product, list, or database derived from our data; or
• Remove, obscure, or alter any proprietary notices contained in the Service or deliveries.

These restrictions apply to the compiled, formatted data product we deliver. They do not restrict your independent access to the underlying public records at their original government sources.

You are solely responsible for how you use the data, including all outreach you conduct. You agree to use the Service only for lawful purposes and to comply with all applicable laws and regulations, which may include but are not limited to:

• The Telephone Consumer Protection Act (TCPA) and related calling and texting rules;
• Federal and state Do-Not-Call registry requirements;
• The CAN-SPAM Act and other email marketing laws;
• Applicable state privacy and consumer-protection laws; and
• Any industry-specific rules that apply to your business.

It is your responsibility — not ours — to scrub your contact lists against applicable suppression and Do-Not-Call lists, to honor opt-out requests, and to ensure your marketing and sales practices are compliant. You must not use the Service to harass, defraud, or send unlawful communications, or for any purpose prohibited by these Terms.

The underlying public records are not owned by us. However, the FBN Resources website, brand, logos, software, compilations, formatting, and the selection and arrangement of data are the property of ProfitWeave, LLC or its licensors and are protected by intellectual property laws. Except for the limited license granted above, nothing in these Terms transfers any ownership rights to you.

The Service relies on third-party providers, including Stripe for payment processing and other vendors for hosting and email delivery. We are not responsible for the acts, omissions, or policies of these third parties, and your use of their services may be subject to their own terms. Links to third-party sites are provided for convenience only and do not imply endorsement.

THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that the data will be accurate, complete, or current. Any reliance you place on the data is at your own risk.

TO THE FULLEST EXTENT PERMITTED BY LAW, FBN RESOURCES AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless FBN Resources and its owners, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your outreach or marketing activities, your violation of these Terms, or your violation of any law or the rights of any third party.

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if your payment fails, if we suspect misuse or unlawful activity, or if we discontinue the Service.

Upon termination, your license to use the data ends and you must stop using and delete any data deliveries in your possession, except as required to be retained by law. Sections that by their nature should survive termination — including those on intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

We may modify, add to, or discontinue features of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to any applicable law, you agree that any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.

Before filing any formal claim, you agree to first contact us so we can try to resolve the matter informally and in good faith.

• Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreements.
• Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
